    Terms of Service

    These Terms of Service ("Terms") govern your use of the Paxillin application, services and website at www.paxillin.com (the "Service"), operated by Paxillin Interface Private Limited ("we," "us," or "our"). By using the Service, you agree to these Terms and our Privacy Policy, which complies with the Digital Personal Data Protection Act, 2023 (DPDPA). If you do not agree, do not use the Service.

    The Service, in phase 1, is a networking platform for healthcare professionals (e.g., doctors, researchers, scientists, nurses, technicians, physician assistants, staff, paramedics) in India, offering profiles, posts, communities, events, collaborations and messaging/calling. It excludes patient consultations and the sharing of any sensitive or identifiable patient information.

    1. Agreement to Terms

    These Terms form a binding agreement under the Indian Contract Act, 1872. You must be 18+ and a verified healthcare professional to use the Service.

    2. Description of the Service

    We provide a platform for:

    • Creating profiles and posting content.
    • Forming communities, events, and collaborations.
    • Messaging and calling users.
    • Sharing internally or externally (e.g., via WhatsApp, email).

    The Service may evolve (e.g., alpha/beta versions, future AI features). We do not guarantee outcomes or endorse users.

    3. User Accounts and Registration

    Provide accurate information and verification documents (e.g., licenses). Maintain account security. We may suspend accounts for inaccuracies.

    4. License Grant and Restrictions

    We grant a limited, non-exclusive license for professional use. Do not: Reverse engineer, copy, or engage in illegal activities (e.g., spam).

    5. User Conduct and Content

    You may submit, upload, post, or otherwise make available content ("User Content") through the Services. You shall retain all ownership rights in and to your User Content. However, by submitting or posting such content, you hereby grant Paxillin a worldwide, non-exclusive, royalty-free, perpetual, irrevocable, sublicensable, and transferable license to host, store, reproduce, modify, adapt, publish, display, distribute, and otherwise use your User Content for the purposes of operating, maintaining, promoting, and improving the Services.

    You are solely responsible for your User Content and warrant that you have all necessary rights to post it and that it does not violate any third-party rights, community guidelines, or applicable laws. Paxillin does not endorse and is not responsible for the accuracy of User Content. We reserve the right, but not the obligation, to monitor, moderate, or remove any User Content that violates these Terms.

    6. Intellectual Property Rights

    We own the Service's IP. You retain your content but grant rights for operation. All materials on the Services, including software, text, graphics, videos, images, logos, and trademarks ("Paxillin Content"), are the exclusive property of Paxillin or its licensors. You are granted a limited, non-exclusive, non-transferable, and revocable license to access and use Paxillin Content solely for your personal, lawful use. You agree not to copy, reproduce, distribute, or create derivative works from the Paxillin Content without our explicit written permission.

    8. Third-Party Links and Integrations

    We may integrate with third parties (e.g., analytics, advertisements, promotions). External sharing is at your risk; we disclaim liability.

    9. Disclaimer of Warranties

    The Service is provided "as is" without warranties for accuracy or availability.

    10. Limitation of Liability

    Except where prohibited by applicable law, Paxillin and its affiliates, directors, officers, and employees shall not be held responsible for any indirect, consequential, incidental, exemplary, or punitive damages, including but not limited to any loss of income, revenue, business opportunity, goodwill, data, or other intangible interests. This limitation applies to any claim arising from or related to:

    • aYour use or inability to use the Services
    • bActions, omissions, or content of any third party using the Services
    • cAny unauthorized access to, alteration of, or misuse of your information or transmissions

    11. Indemnification

    You shall be solely responsible for, and agree to fully indemnify and hold Paxillin, along with its officers, directors, employees, and agents, harmless from any and all claims, actions, proceedings, losses, damages, costs, expenses, or liabilities (including reasonable legal fees) that arise or result from:

    • iInfringement of any intellectual property, privacy, or other rights of a third party
    • iiAny breach or alleged breach of these Terms
    • iiiYour use or misuse of the Services
    • ivAny damage, loss, or dispute caused by content submitted or shared by you

    12. Termination

    We may terminate for violations. You can close your account; data retention follows the Privacy Policy.

    13. Governing Law and Dispute Resolution

    These Terms and any dispute arising from or in connection with them shall be governed and construed in accordance with the laws of India. You agree that all disputes, claims, or proceedings relating to these Terms shall fall under the exclusive jurisdiction of the competent courts located in Udaipur, Rajasthan, India.

    14. Changes to Terms

    We may update Terms, notifying you via the Service or email in English. Continued use implies acceptance.

    15. Miscellaneous

    Entire agreement; severability.
